As per terms of the Agreement, the Company has agreed to acquire property representing the surface rights over a portion of the Plymouth manganese deposit located near the town of Woodstock in the Province of New Brunswick (the "Property"). Pursuant to the Agreement, the Company will now issue 10,000 warrants ("Warrants") to each of the four Vendors and $390,000 in cash, consisting of a purchase price of $380,000 and $10,000 upfront bonus payable to the Vendors. Each Warrant is exercisable into one common share at a price of $0.10 for a period of five years from the date of issuance. Additionally, the Company has granted the Vendors a one percent gross sales royalty ("Royalty") on gross revenue upon commencement of commercial production on the Property. The Company has the option, exercisable within three years of the date of the Agreement, to buy back one-half of the Royalty granted to the Vendors upon payment of $1,500,000.

As of August 30, 2012, NEX has not received payment of the outstanding NEX listing maintenance fee from the following trading issuer.
In accordance with NEX Policy, Section 15, at the open of business on Friday, August 31, 2012, the securities of the issuer will be halted from trading for failure to pay the listing maintenance fee. In addition, an issuer halted for failure to pay the listing maintenance fee will be subject to a processing fee of $250.00 + GST to be brought back to trade.
If payment is not made within 10 business days of being halted, the issuer will be suspended from trading without further notice. Once an issuer is suspended from trading, it will be subject to a reinstatement review, which must be accompanied by the applicable fee of $500.00 + GST.
