TSX Venture Exchange (the "Exchange") has accepted for filing documentation pursuant to a Court of Queen's Bench of Alberta approved Plan of Arrangement (the "Arrangement") between Touchstone Exploration Inc. (the "Company") and Primera Energy Resources Ltd. ("Primera"). Approval of the Arrangement was obtained from shareholders of Primera at the Annual General and Special Meeting of Shareholders held on November 15, 2012. Pursuant to the terms of the Arrangement, shareholders of Primera received nine-tenths (0.9) of a common share of the Company for each common share of Primera ("Primera Share") not held by the Company. Accordingly, approximately 30,028,275 common shares of the Company were issued.
Effective at the close of business on Wednesday, December 5, 2012, the Primera Shares will be delisted from the Exchange and common shares of the Company will remain trading.
