Effective at the opening on Friday, November 1, 2013, the common shares of the Company will resume trading, an announcement having been made on October 30, 2013, as to completion of the Company's Qualifying Transaction, as set forth below.
Qualifying Transaction-Completed/New Symbol
TSX Venture Exchange has accepted for filing the Company's Qualifying Transaction described in its Filing Statement dated October 17, 2013. As a result, at the opening on November 1, 2013 the Company will no longer be considered a Capital Pool Company. The Qualifying Transaction involves the arm's length acquisition (the Acquisition) of Astrix Networks Inc. (Astrix), a technology company, through a three cornered amalgamation (the Amalgamation), whereby, (exclusive of shares issued to holders of Astrix shares acquired in connection with the Financing, defined below), an aggregate of 35,441,875 common shares of the Company were issued at a deemed price of $0.10 per share for aggregate deemed consideration of about $3,544,188.
In conjunction with and as a condition of completion of the Acquisition, Astrix completed a private placement (the Financing) for gross proceeds of about $854,645.

Option to acquire up to a 70% interest in the Donna Property, British Columbia (the "Property"):
The Company entered into an Letter of Intent (the "LOI") dated June 14, 2013 and mineral property option agreement (the "Option Agreement") dated September 8, 2013 with Alpha Minerals Inc. ("Alpha Minerals") under which Alpha Minerals granted the Company an option to acquire up to a 70% interest in the Donna Property, British Columbia, subject only to a 2% net smelter royalty payable to the underlying owners of the Property.
The Company can earn a 70% interest in the Property by paying an aggregate total of $100,000 in cash, issuing a total of 400,000 shares and incurring no less than $600,000 in exploration expenditures on the Property over a 3 year period as follows:
- cash of $25,000, on the date of this Bulletin (the "Bulletin");
- issuance of 100,000 shares within 10 days of the issuance of the Bulletin;
- an additional cash payment of $25,000, issuance of 100,000 shares and $200,000 in exploration expenditures on or before the first anniversary of the Bulletin;
- an additional cash payment of $25,000, issuance of 100,000 shares and $200,000 in exploration expenditures on or before the second anniversary of the Bulletin; and
- an additional cash payment of $25,000, issuance of 100,000 shares and $200,000 in exploration expenditures on or before the third anniversary of the Bulletin.
Under the terms of the Option Agreement, and following exercise of the Option, the Company has agreed to grant Alpha Minerals a 2% NSR (the "Royalty") with respect to the commercial production of all precious metals from the Property.
The full particulars of the Company's Qualifying Transaction are set forth in the Information Circular, which has been accepted for filing by the Exchange and which is available under the Company's profile on SEDAR.
