(the "Subco"), a wholly-owned subsidiary of Smart Employee Benefits Inc. (the "Company"). Pursuant to the Agreement, the Subco shall acquire all the issued and outstanding shares of APS-Antian Professional Services Inc. which is a turnkey communication and personnel service provider within the private and public sectors.
In consideration, the Company shall pay $357,701 in cash plus issue a $324,482 convertible vendor take back promissory note (the "Note"). The Note bears an interest of 3% per annum with a fiver year term and is convertible into common shares at a price of $0.75 for a five year period.
