Re: Dual-listings on Santiago Stock Exchange, Venture and Impact on "Venture Issuer" Status
Further to our agreement with Santiago Stock Exchange (SSE) announced this time last year, we are pleased to announce that SSE has created a new venture exchange board called the Santiago Stock Exchange, Venture (SSEV). Issuers listed on TSX Venture Exchange are able to dual-list on this new market. The initial focus of SSEV is on capital formation for small and medium enterprises in the exploration mining sector. The arrangement will facilitate access to capital from Latin American markets for TSX Venture issuers, through the possibility of participating in the Latin American Integrated Market, MILA.
TSX Venture issuers are reminded that a dual listing on TSX Venture and another stock exchange could impact that issuer's "venture issuer" status under Canadian securities laws. TSX Venture has submitted an application for blanket exemptive relief to all of the securities commissions in Canada, other than the Ontario Securities Commission (OSC), which, if approved, would permit TSX Venture issuers (other than those that are reporting issuers in Ontario) that are "venture issuers" to retain their "venture issuer" status even if dual-listed on SSEV. At this time, the application has not been approved and there is no certainty that it will be. Issuers should discuss the implications of the loss of "venture issuer" status with their legal counsel prior to dual-listing on SSEV.
TSX Venture issuers who wish to dual list on SSEV, that are reporting issuers in Ontario, will need to apply to the OSC for exemptive relief to retain their "venture issuer" status. TSX Venture is also looking at other possibilities in order to assist TSX Venture issuers that are reporting issuers in Ontario. If this is of interest to you please contact us at [email protected]
Regulatory efforts will be coordinated between the Chilean Securities and Insurance Supervisor and the BC and Alberta Securities Commissions to ensure the provision of mutual assistance and exchange of information required to maintain the high level of market integrity currently enjoyed by both marketplaces.
SSEV will pay to TSX Venture a portion of listing revenue received in respect of any TSX Venture listed issuers that list on SSEV. TSX Venture will pay to SSEV a portion of listing revenue received from South American based issuers that list on TSX Venture.

Comme suite à l'annonce de notre entente avec la Bourse de Santiago (SSE) vers la même période l'an dernier, nous avons le plaisir d'annoncer la création par la SSE d'un nouveau marché : la Santiago Stock Exchange, Venture (SSEV). Les émetteurs inscrits à la cote de la Bourse de croissance TSX ont la possibilité de s'inscrire simultanément à la cote de ce nouveau marché. La SSEV mettra initialement l'accent sur la formation de capital pour les petites et moyennes entreprises du secteur de l'exploration minière. L'entente facilitera l'accès aux capitaux des marchés latino-américains pour les émetteurs de la Bourse de croissance TSX, en leur offrant l'occasion de participer au marché intégré latino-américain (MILA).
Les émetteurs de la Bourse de croissance TSX doivent noter qu'une inscription simultanée à la cote de la Bourse de croissance TSX et d'une autre bourse est susceptible d'avoir une incidence sur leur statut d'« émetteur émergent » aux fins de la législation canadienne en valeurs mobilières. La Bourse de croissance TSX a déposé une demande de dispense générale auprès de toutes les commissions de valeurs mobilières au Canada, sauf la Commission des valeurs mobilières de l'Ontario (CVMO), qui, sous réserve de son approbation, permettrait aux « émetteurs émergents » de la Bourse de croissance TSX (à l'exception de ceux qui sont des émetteurs assujettis en Ontario) de conserver leur statut d'« émetteur émergent » malgré leur inscription simultanée à la SSEV. À l'heure actuelle, la demande n'a pas été approuvée et il n'y a aucune certitude qu'elle le sera. Les émetteurs doivent discuter des répercussions de la perte du statut d'« émetteur émergent » avec leurs conseillers juridiques avant de procéder à une inscription simultanée à la cote de la SSEV.
Les émetteurs de la Bourse de croissance TSX qui sont des émetteurs assujettis en Ontario et qui souhaitent procéder à une inscription simultanée à la cote de la SSEV devront déposer une demande de dispense auprès de la CVMO en vue de conserver leur statut d'« émetteur émergent ». La Bourse de croissance TSX envisage également d'autres possibilités pour aider les émetteurs de la Bourse de croissance TSX qui sont des émetteurs assujettis en Ontario. Les efforts en matière de réglementation feront l'objet d'une coordination entre l'organisme de surveillance des secteurs de l'assurance et des valeurs mobilières du Chili et les commissions des valeurs mobilières de la Colombie-Britannique et de l'Alberta, afin de veiller à la prestation réciproque d'assistance et au partage d'information nécessaires au maintien du degré d'intégrité élevé dont jouissent actuellement les deux marchés.
La SSEV versera à la Bourse de croissance TSX une partie du produit perçu de l'inscription d'émetteurs de la Bourse de croissance TSX à la cote de la SSEV. La Bourse de croissance TSX versera à la SSEV une partie du produit perçu de l'inscription d'émetteurs établis en Amérique du Sud à la cote de la Bourse de croissance TSX.

Further to the bulletin dated September 8, 2014 with respect to the purchase agreement between the Company and Dragon Mining Oy, a wholly-owned subsidiary of Dragon Ming Limited (ASX:DRA) regarding the acquisition of a 100% interest in the Kutuvuoma and Silasselka exploration projects located in Northern Finland, TSX Venture Exchange has accepted for filing a Letter Agreement dated March 3, 2015 whereby the terms of the original May 23, 2014 agreement has been amended to include the removal of the Right of First Refusal clause, the inclusion of an additional clause in relation to Confidential Information and the relaxing of the time period before the Company can seek a third party partner. In consideration of the amendments, the Company will issue a total of 750,000 common shares (250,000 shares will be issued upon execution of the Letter Agreement and 500,000 shares will be issued either at the issuance of the final instalment of shares due or on the termination of the agreement) at a deemed price of $0.05 per share in addition the 6,000,000 shares issuable pursuant to the original agreement.
