The property consists of 12 placer claims and is 1,490 hectares in size. Total consideration consists of $50,000, 500,000 shares and $300,000 of exploration expenditures. ('Newstrike') and Timmins Gold Corp. ('Timmins'). Pursuant to the Arrangement Agreement, Newstrike shareholders received 0.9 of a Timmins share and $0.0001 in exchange for each Newstrike share held.
The Exchange has been advised that approval of the arrangement by shareholders of Newstrike was received at a special meeting of the shareholders held on April 29, 2015 and that approval of the arrangement was received from the Supreme Court of British Columbia on May 1, 2015. The full particulars of the arrangement are set forth in Newstrike's Information Circular (the 'Circular') dated March 23, 2015, which is available under Newstrike's profile on SEDAR. Newstrike security holders should refer to the Circular for a summary of the procedures regarding the exchange of Newstrike securities for the consideration to which they are entitled under the arrangement.
The arrangement became effective on May 26, 2015.
Delisting:
In conjunction with the closing of the arrangement, the common shares of Newstrike will be delisted from the Exchange. Accordingly, effective at the close of business, Thursday, May 28, 2015, the common shares of Newstrike will be delisted.
