TSX Venture Exchange has accepted for filing documentation relating to an Asset Purchase Agreement (the "Agreement") dated September 28, 2015 between an arm's length party (the "Vendor") and Spruce Ridge Resources Ltd. (the "Company"). Pursuant to the Agreement, the Company shall acquire a 100% interest in the Great Burnt Copper Property, comprised of one mining lease and five mineral exploration licenses located in Central Newfoundland.
In consideration the Company shall pay an aggregate of $390,000 (with $365,000 as a vendor take-back loan carrying an interest rate of 8% per annum and maturing in three years) plus issue an aggregate of 200,000 common shares and 300,000 warrants (each exercisable into one common share at a price of $0.10 for a five year period). In addition, the Company shall incur work commitments of $139,500 within the first year.
The Vendor will maintain a 0.5% net smelter royalty on the mining lease and one of the exploration licenses and 2% net smelter royalty on the other licenses. If the vendor take-back loan is repaid in full prior to December 31, 2015, the 2% net smelter royalty shall be reduced to 1.5%.
