1. Acquisition of the Bluff Lake Copper Property:
On November 19, 2009 the Company signed an option agreement (the
"Agreement") with an independent, arms length private company named Candorado
Operation Company Ltd. (the "Vendor") pursuant to which the Company has the
option to acquire an undivided 70% interest (subject to a 2% NSR) in and to
the mineral properties comprising the Vendor's "Bluff Lake Copper Property"
located in the in the Cariboo mining district in BC (the "Property").
To acquire its interest, the Company has agreed to expend a total of
$1,750,000 on the Property over a four year period:
- $100,000 on or before the first anniversary of the completion of the
QT;
- An additional $150,000 on or before the second anniversary of the
completion of the QT; and
- An additional $1,500,000 on or before the fourth anniversary of the
completion of the QT.
Insider/Pro Group Participation: None. At the time the Agreement was
entered into the Company was at arm's length to the Vendor.
The Exchange has been advised that the above transactions, which did not
require shareholder approval of the Company, have been completed. For

2009 press release) is not completed, the Company and Simo Holdings will
transfer to the other party, for no additional consideration, 50% of the
shares acquired under the Agreement.

owner of BUA, and U.S. Potash, LLC ("US Potash"), whereby the Company and
Tibbetts through BUA will transfer their Potash assets ("BUA Properties") and
US Potash will transfer its Potash Properties ("Potash Properties") into a new
Liability Company ("NewCo").
The participating interest in the NewCo will be:
- Ringbolt Ventures Ltd. 70%
- Tibbetts 30%
As consideration for the transaction:
- the Company will contribute its ownership in the BUA properties;
- Tibbetts will contribute its ownership in the BUA Properties, and
surrender its equity interest in BUA to the Company; and
- US Potash will contribute its ownership in the Potash Properties.
In addition, in consideration of the agreement, Tibbetts will release BUA
and Ringbolt from the Claim asserted by Tibbetts against BUA filed in the
Seventh Judicial district Court; San Juan County, Utah (Civil No. 090700071)
The Transaction received approval of the Company's shareholders at the
Company's Annual General Meeting held on August 31, 2009. Additional
