Consideration is $25,000 cash, 250,000 shares and $500,000 work commitment staged over a three year period. Strategic Metals Inc. will retain a 1% Net Smelter Royalty ("NSR"). In the case the Option Agreement terms are met, a Joint-Venture ("JV") will be formed between the Company and Vendor. Should the Vendor's JV participation drop below 10%, the NSR will increase to 2%. At that time, the Company may repurchase 1% of the NSR for $1,000,000 subject to further Exchange review and acceptance.
