In accordance with TSX Venture Exchange Policy 2.4, Capital Pool Companies, the Company has not completed a Qualifying Transaction within the prescribed time frame. Therefore, effective Thursday, April 19, 2018, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Calgary to NEX.
As of April 19, 2018, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.
The trading symbol for the Company will change from RAP.P to RAP.H. There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.
Further to the TSX Venture bulletin dated January 15, 2018; trading in the shares of the Company will remain suspended. Members are prohibited from trading in the securities of the Company during the period of the suspension or until further notice.

('MinQuest") that will be superseded and replaced by a definitive option agreement between, inter alia, MinQuest, Allegiant Gold Ltd., its wholly-owned subsidiary Allegiant Gold (U.S.) Ltd. (collectively, "Allegiant) and the Company whereby the Company will be granted an option to acquire a 100% undivided interest in the Four Metals property located in Santa Cruz County, Arizona. Consideration is US$225,000 and US$225,000 in common shares payable over a five year period to MinQuest and Allegiant each as to 50%. The deemed price per share will be based on the volume weighted average price of the Company's shares for 20 trading days immediately preceding the date of issue and converted from Canadian dollars to US dollars and subject to a floor price that is not less than the discounted market price as of the date of the announcement (or $0.68). Any waiver of the floor price will be subject further Exchange review and acceptance.
