Universal mCloud Announces Upsize of Convertible Debenture Financing to C$23 Million Due to Overwhelming Demand
VANCOUVER, June, 11, 2019 /CNW/ - Universal mCloud Corp. (TSX-V: MCLD) (OTCQB: MCLDF) ("mCloud" or the "Company"), a leading provider of asset management solutions combining IoT, cloud computing, artificial intelligence ("AI") and analytics, today announced that it has received conditional approval from the TSX Venture Exchange ("TSXV") to increase the aggregate principal amount of a convertible debenture offering previously announced by the Company on May 30, 2019, from C$10 million to C$23 million. The Company is seeking to increase the amount due to the overwhelming response it has received for the offering.

As previously announced, the offering is expected to be completed in multiple tranches, with the initial closing to occur on or about June 12, 2019.
Agnity Global
In addition, mCloud today announced that it has amended the royalty agreement between Agnity Global ("Agnity") and mCloud originally announced on June 21, 2018, as a result of Agnity defaulting on the original agreement. The agreement now includes an option in favour of mCloud to acquire Agnity via a combination of cash and shares based on certain revenue metrics.
