Uranium One Announces Closing of $300 Million Non-Convertible 6.25% Senior Secured Notes

TORONTO, Dec. 13, 2013 /CNW/ - Uranium One Inc. ("Uranium One") announced today that its 100% owned subsidiary Uranium One Investments Inc. (the "Issuer") has closed its offering of $300 million aggregate principal amount of non-convertible 6.25% Senior Secured Notes due 2018 (the "Notes"). The Notes will mature on December 13, 2018 and the Issuer will pay interest semi-annually on June 13 and December 13 of each year. The Issuer will be able to redeem all or a portion of the Notes on or after December 13, 2016. The Notes were sold in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States to certain non-U.S. persons pursuant to Regulation S under the Securities Act of 1933, as amended (the "Offering").
The Notes are guaranteed by Uranium One and certain of its subsidiaries. The net proceeds of this offering will be made available to the Issuer's affiliates for the repurchase of existing convertible debentures of Uranium One and for general corporate purposes.
The joint lead managers are Deutsche Bank AG, London Branch, SIB (Cyprus) Limited (a subsidiary of Sberbank), and Société Générale.
The Notes have been listed on the Official List of the Luxembourg Stock Exchange.
