Westminster Closes $1,040,250 Private Placement

VANCOUVER , Feb. 12 /CNW/ - Westminster Resources Ltd. (the "Company") (TSX-V: WMR), is pleased to announce that it has closed a non-brokered private placement of 6,935,000 units at a price of $0.15 per unit for gross proceeds of $1,040,250 . Each unit will be comprised of one common share and one-half of a common share purchase warrant. Each full common share purchase warrant will entitle the holder to purchase one common share at a price of $0.25 per share until February 12, 2012 . The common shares issued pursuant to the private placement as well as the common shares issued pursuant to the exercise of the share purchase warrants will be legended with a hold period to expire June 14, 2010 .

Commensurate with TSX.V policies, the Company will pay a finder's fee of $63,018 to Carl Jones of Vancouver , British Columbia.

The funds raised will be used to continue exploration on the Company's Navojoa Project in Sonora, Mexico and for general working capital.
