VANCOUVER, Dec. 14 /CNW/ - Westminster Resources Ltd. (the "Company") (TSX-V: WMR), has closed the non-brokered private placement announced on December 2, 2010. The Company will issue 2,274,500 units, of which Pinetree Resource Partnership has subscribed for 1,500,000 units, at a price of $0.45 per unit with each unit to be comprised of one common share and one common share purchase warrant. Each common share purchase warrant will entitle the holder to purchase one additional common share at $0.56 per share until December 14, 2012. The common shares issued pursuant to the private placement as well as the common shares issued pursuant to the exercise of the share purchase warrants will be legended with a hold period to expire April 15, 2011. Finders' fees totaling $41,382 will be paid from the Company's working capital commensurate with TSX.V policies.

The funds raised will be used to conduct exploration on the Company's El Cobre and Navojoa Projects in Sonora, Mexico and for general working capital.
