Wexford updates disclosure of ownership of Marlin Gold Mining Ltd.

VANCOUVER, Aug. 19, 2013 /CNW/ - Wexford Capital LP ("Wexford") announced today that Wexford Spectrum Trading Limited ("WST") and Wexford Catalyst Trading Limited ("WCT", and together with WST, the "Wexford Funds"), two private investment funds managed by Wexford, acquired an aggregate of 265,478,100 common shares of Marlin Gold Mining Ltd. ("Marlin Gold"), representing 39.04% of Marlin Gold's issued and outstanding common shares ("Shares").  The Wexford Funds acquired 48,607,069 of the Shares pursuant to the Wexford Funds' standby commitment under Marlin Gold's rights offering (the "Rights Offering") as described in the final long form prospectus of Marlin Gold dated July 3, 2013, pursuant to which the Wexford Funds agreed to purchase all of the Shares not otherwise purchased by holders of rights.  The Shares were acquired at a price of $0.05 per Share.

Following the Rights Offering, the Wexford Funds beneficially hold, directly or indirectly, 540,036,828 Shares and 17,045,500 warrants expiring February 17, 2014 ("Warrants"), representing 79.92% of Marlin Gold's issued and outstanding Shares on a partially diluted basis. Immediately prior to the completion of the Rights Offering, the Wexford Funds owned, directly or indirectly, 274,558,726 Shares and 17,045,500 Warrants. The Shares were acquired to increase the ownership interest of the Wexford Funds in Marlin Gold.  The Wexford Funds may from time to time acquire additional securities, dispose of some or all of the existing or additional securities or may continue to hold the securities of Marlin Gold.
