ZCL Composites Announces the Election Results from Annual and Special Shareholders Meeting & Adoption of Advance Notice Policy

EDMONTON, May 10, 2013 /CNW/ - ZCL Composites Inc. (TSX: ZCL) today announced the election results from the Board of Directors 2013 Annual and Special Meeting of Shareholders held on May 10, 2013.

1. Election of Directors:  The following seven nominees were elected as directors of ZCL to serve until the next annual meeting of the shareholders of ZCL or until their successors are elected or appointed:

2. Appointment of Auditors:   The shareholders approved the reappointment of Ernst & Young LLP, Chartered Accountants, as auditors of the Corporation.

3. Amendment of By-Laws: Advance Notice for the Nomination of a Director:  The shareholders approved a new policy that requires advance notice to ZCL for nominations of directors other than through a requisition for a meeting or by way of a shareholder proposal.
